Welcome to Visual Purple Net. These Terms and Conditions (“Terms”) govern the provision of website and mobile app development services (“Services”) by Visual Purple Net (“we,” “us,” or “our”) to you, the client (“you” or “your”). By engaging our Services, you agree to comply with and be bound by these Terms.
We provide website development, mobile app development, UI/UX design, e-commerce solutions, maintenance, and related digital services as agreed in your project proposal or contract.
The scope of work will be defined in a written proposal or statement of work (“SOW”).
Any additional features, changes, or revisions outside the agreed scope will be subject to additional charges and may affect delivery timelines.
You agree to:
Provide accurate and complete project requirements, content, and feedback promptly.
Ensure you have the necessary rights and permissions for all materials (text, images, videos, logos) you provide to us.
Respond to communications in a timely manner to avoid project delays.
All fees will be outlined in the agreed proposal or invoice.
Payments are due as per the payment schedule in your contract.
Late payments may incur interest at the statutory rate in the UK (currently 8% plus the Bank of England base rate) under the Late Payment of Commercial Debts (Interest) Act 1998.
We reserve the right to suspend or withhold work if payment is not received on time.
We retain ownership of all intellectual property, source code, and design files until full payment has been received.
Upon full payment, ownership of the final deliverables (excluding any third-party licensed materials) will be transferred to you.
We reserve the right to showcase the completed work in our portfolio and marketing materials unless agreed otherwise in writing.
If your project requires third-party software, plugins, or licenses, these costs will be communicated to you and charged separately.
We are not responsible for third-party service failures or downtime.
We warrant that our Services will be performed with reasonable skill, care, and diligence.
We do not guarantee that any website or application will be error-free, completely secure, or operate uninterrupted.
We are not liable for loss of profits, business interruption, data loss, or any indirect or consequential damages.
Ongoing support or maintenance is only provided if explicitly included in your contract.
Bug fixes within 30 days of project delivery are free of charge unless caused by third-party interference, unauthorised changes, or misuse.
Either party may terminate the agreement with written notice if the other party breaches these Terms and fails to remedy the breach within 14 days.
All outstanding fees for completed work will become immediately payable upon termination.
Both parties agree to maintain confidentiality over any proprietary or sensitive information shared during the project.
We process personal data in accordance with the UK GDPR and Data Protection Act 2018. Our Privacy Policy explains how we collect, store, and use data.
We are not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to natural disasters, strikes, pandemics, or internet outages.
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
By engaging Visual Purple Net’s services, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
